第二十二章 西獨問味聞風動，謠言半真逼正章

Fung 沒有即刻出 report。

這比出 report 更煩。

出 report，至少有字可打，有句可駁，有圖可圈。

不出 report，只是不斷在市場邊緣問問題，像一個人站在門外磨刀，聲音不大，但每一下都聽得見。

星期二早上，Raymond 收到三個 investor reverse enquiry。

第一個問：「Golden Bun 是否仍按原 timetable？」

第二個問：「近期 supplier rumour 是否有 substance？」

第三個最毒：「If the issue is historical only, why delay？」

Raymond 把三封 email 打印出來，放到桌上。

「市場開始問得似人。」

Marcus 說：「即係有人教過。」

Raymond 把 email 反轉再看一次。「Questions are getting institutional。唔係茶水間 gossip。」

Nancy 在電話裡說：「Or investors are not stupid。」

Raymond 看著 speakerphone。

「你可唔可以偶爾俾我一個簡單 villain？」

「No。」

郭正行拿起第三封 email。

`If historical only, why delay?`

這句確實打中。

如果只是歷史，為什麼今天要停？

答案不是因為歷史自己會咬人。

是因為有些歷史仍然活在今天的 margins、supplier relationships、founder credibility 和 investor trust 裡。

上午十一點，Golden Bun 開 management call。

梁國柱聲音比之前更累。

「我們是否可以跟 investors 說，delay purely due to additional documentation？」

Nancy 說：「No。」

「Due to additional disclosure review？」

「Better。」

Raymond 接住：「但 investor 會問 review 乜。」

郭正行看著 draft，忍不住插了一句：「可以話 historical funding and supplier arrangements。唔好講 purely documentation。」

電話那邊靜了一下。

金兆滿的聲音響起。

「師兄，你而家都識得幫我哋講到無咁死？」

郭正行答：「我係幫 disclosure 講到無咁假。」

Marcus 低頭咳了一聲。

Raymond 望天。

Nancy 很平靜：「That is acceptable。」

金兆滿居然笑了一下。

「你條友真係唔識做人。」

「我學緊。」

「慢慢學。唔好學 Raymond。」

Raymond 立刻說：「金生，我仍然在線。」

「我知，所以先講。」

房內終於有一點笑聲。

笑聲不代表問題輕了。

只是人在大壓力下，如果完全不能笑，很快會裂。

下午，Fung 又打來。

這次不是 Raymond。

是公司總機轉到 Marcus。

Marcus 看見來電顯示，眉頭一動。

「West Solo？」

Fung 的聲音懶懶地傳來。

「Marcus，聽聞你哋最近好勤力。」

「我們一向勤力。」

「勤力同有效係兩回事。」

Marcus 看向 Nancy。

Nancy 寫：

`No client discussion. Log call.`

Marcus 說：「No comment on clients。」

Fung 說：「我唔講 client。我講一個 general question。假設一間 consumer company 早期靠 family-connected suppliers support margins，後來上市時話已經 independent，你覺得 investors 應該睇咩？」

Marcus 看著郭正行。

郭正行沒有講話。

這一題他想答。

但他不可以。

Marcus 說：「Read the prospectus when available。」

Fung 笑了一聲。

「如果 prospectus never comes？」

「Then there is nothing to read。」

「有時無 prospectus，都有故事。」

Marcus 語氣冷下來。

「Stories without documents are rumours。」

Fung 說：「Documents without courage are marketing。」

電話斷了。

房間安靜。

Raymond 說：「我開始懷念啲只識問 valuation discount 的 fund。」

郭正行望住 call log。

Fung 不知道 restricted evidence。

但他知道怎樣問一個讓所有 sponsor 不舒服的 general question。

這就是西獨基金可怕的地方。

他不用偷你的劍。

他只要站在遠處，問你劍有沒有開鋒。

傍晚，Nancy 要求建立 `Rumour Response Pack`。

內容包括：

一，所有外部 query log。

二，anonymous PDF preservation record。

三，restricted room access log。

四，client media holding line draft。

五，do / don't 說話清單。

Raymond 看見第五項，痛苦地說：「我最憎 do / don't。」

Marcus 說：「因為你經常講 don't。」

「我係 senior banker，講嘢有藝術。」

Nancy 說：「Your art creates legal review。」

郭正行默默打開新文件：

`External Communications Guardrails`

第一條：

`Do not confirm or deny market rumours beyond approved media line.`

第二條：

`Do not describe the issue as immaterial until review is complete.`

第三條：

`Do not attribute delay to documentation only.`

第四條：

`Do not speculate on short-seller involvement.`

第五條，他停了一下。

`Do not sound clever.`

Marcus 站在他身後。

「Delete。」

郭正行刪掉。

「但好有用。」

「我知。所以更加唔可以俾 Raymond 睇到。」

Nancy 終於在八點半加入 call。

她沒有問大家累不累。

她只問：「Who owns the call log？」

Raymond 指住郭正行。「師兄。」

「Who reviews investor-facing language？」

Marcus 說：「Me and Raymond。」

「Who keeps client from improvising？」

房內安靜。

Raymond 嘆氣。「我。」

Nancy 說：「Good. Then nobody is allowed to be heroic on the phone。」

金兆滿在另一條線上笑了一聲。「Nancy，你真係完全唔俾人有風度。」

「Wind is for sailing. Not disclosure。」

這句冷得連 Marcus 都忍不住望了 speakerphone 一眼。

郭正行忽然覺得，萬利門這間行最奇怪的地方，是它不是沒有江湖。只是這裡的掌法很多時候長得像 checklist、call note 和紅筆。

Raymond 拿起筆，把 `No improvisation` 圈住。

「金生，之後如果有 investor 或 media 直接問，你唔需要即場打贏佢。」

金兆滿問：「咁我做乜？」

「你做一個上市公司董事應該做嘅事：話需要準確披露，會按 proper process update。」

「好悶。」

Marcus 說：「悶有時係 protective。」

郭正行看著那份 guardrails，突然明白 Raymond 和 Marcus 其實不是同一種人。Raymond 擋在客面前，像一個會用笑聲換時間的人；Marcus 擋在文件前面，像一個不准時間偷走證據的人。

而他自己，正在學兩邊都不要失手。

晚上，Brian 在 pantry 聽到兩個 analysts 講 West Solo。

「Fung 係咪真係要打 Golden Bun？」

「唔知，聽聞 sponsor team 好緊。」

「Brian 以前係唔係做呢單？」

Brian 拿著杯，沒有轉身。

兩個 analyst 看見他，立刻收聲。

他沒有責備。

因為他知道，人越不准知道，越想補完故事。

回到座位，他收到父親訊息。

`今日無人再問我。你放心。`

Brian 看著「放心」兩個字。

他一點也不放心。

但至少他已經走了正門。

他回：

`如果有人再問，記低時間同名，唔好答。`

父親很快：

`你而家講嘢好似律師。`

Brian 看著這句，突然笑了一下。

`好過似以前咁扮無事。`

父親沒有再回。

夜晚九點，Golden Bun 的 media holding line 定稿。

沒有華麗辯解。

沒有英雄敘事。

也沒有否認一切。

只有一句核心：

`The Company, together with its advisers, is conducting an additional review of certain historical funding and supplier arrangements to ensure that any future disclosure is accurate, complete and capable of being assessed by investors.`

Raymond 讀完，說：「悶。」

Nancy 說：「Good。」

金兆滿在電話另一邊沉默很久。

最後說：「出得街？」

Raymond 說：「如果需要。」

金兆滿嘆了一口氣。

「以前我開第一間舖，最怕無客。依家做到想上市，最怕有人問太多。」

郭正行望住 speakerphone。

金兆滿又說：「都幾諷刺。」

沒有人反駁。

因為這句是真的。

凌晨，Fung 的名字再次出現在 market colour。

`West Solo may publish sector note on HK consumer IPO supplier dependence.`

不是 Golden Bun。

是 sector note。

一招打整個江湖。

Marcus 看完，低聲說：「佢要逼我哋所有人快啲講。」

郭正行問：「咁係壞事？」

Marcus 看住他。

「睇佢講幾真。」

窗外中環燈火像一排沒有關掉的問題。

郭正行知道，下一步已不只是 Golden Bun 要不要披露。
