第九章 回扣問到誰受益，快錢席前試人心
第二朝九點半，萬利門小會議室多了一個聲音。
南希仁 Nancy Nam。
她沒有坐在房裡，只在 speakerphone 裡，但整個房間的氣壓都因她低了半度。Nancy 的聲音不像 Raymond 那樣滑，不像 Marcus 那樣累，也不像 Brian 那樣順。她每一句都短，短到像刀片。
桌上有梁國柱昨晚的 email。
`MY support rebate`
`early-stage promotional support`
`not group cost`
`not normalized`
每一個 not 都很乾淨。
乾淨得過分。
Nancy 開場沒有寒暄。
「K.C., thanks for your written response. We need to clarify three things. Who paid, who benefited, and who decided。」
郭正行坐在角落，keyboard 已經開好。他今天沒有被安排發問。Raymond 昨晚講得很清楚：everything through Marcus or legal。
師兄第一次覺得，閉嘴也是一種武功。
梁國柱在電話另一邊咳了一聲。
「Nancy, the support was provided by Mun Yu to certain franchisees in the early stage. It was commercial. It helped them ramp up operations。」
Nancy 問：「Who paid？」
「Mun Yu。」
「Using Mun Yu's own funds？」
「Based on our understanding, yes。」
「Who benefited？」
梁國柱停了一下。
「The franchisees. They received support。」
Nancy 沒有讓他走。
「Did Golden Bun benefit indirectly because those franchisees purchased more products from Golden Bun or maintained store operations？」
小房內沒有人動。
這句就是郭正行昨晚在 notebook 寫的 `Who benefited?`，但由 Nancy 講出來，完全不同。沒有火氣，沒有急，沒有少年的不服。只有一張白紙，逼對方填字。
梁國柱說：「I think indirectly every supplier arrangement supports the ecosystem。」
Nancy：「I am not asking ecosystem. I am asking whether the rebates supported sales volume or margins of Golden Bun。」
梁國柱沉默。
Raymond 望向天花板，像想把這句話從空氣裡抹走。
Marcus 低頭寫 notes。
Brian 靠在椅背，雙手交疊。他沒有看郭正行。
梁國柱最後說：「It may have supported franchisee stability. But it is not Golden Bun revenue。」
Nancy：「Understood. Who decided the rebate amount？」
「Mun Yu management。」
「Which person？」
「I need to confirm。」
「Please confirm in writing。」
電話那邊又靜了。然後金兆滿的聲音傳來。
「Nancy，我插一句。」
Raymond 立刻坐直。「Chairman。」
金兆滿說：「你哋問 who paid, who benefited，好似問到好嚴重。但我想講，當年沙士，大家係救火。加盟商冇錢開舖，供應商幫一幫，大家一齊頂住。呢啲叫生意人互相扶持，唔係你哋文件上面啲陰謀。」
Nancy 聲音不變。
「Chairman, we are not alleging conspiracy. We are asking for disclosure facts。」
「Disclosure facts。」金兆滿重複了一次，像咬一粒硬糖，「好。咁我都講 fact。金美儀係我遠房親戚，老家識落。佢以前幫我做過物流，後來自己搞滿裕。佢唔係我老婆，唔係我董事，唔係我 shareholder。」
房內幾個人同時抬頭。
承認了。
不是罪。
但承認了。
Nancy 問：「How is she related？」
金兆滿不耐煩地笑了一聲。
「遠房表親，幾代嗰種。香港做生意，有邊個完全唔識邊個？如果識人就係問題，成個中環都唔使上市。」
Raymond 補位：「Chairman, we understand Hong Kong business networks are close. The question is whether the relationship is discloseable and whether the transactions were conducted on arm's length terms。」
金兆滿說：「Arm's length。你哋最鍾意呢個字。當年大家戴住口罩搬麵粉，邊度有尺量 arm 幾長？」
這句話講得好。
好到連郭正行都覺得心口一動。
金兆滿永遠最危險的地方，就是他不是全假。他懂得把真辛苦放在最前面，讓後面的數字都沾到一點血汗味。
Nancy 仍然沒有被帶走。
「Then we need a relationship chart, rebate schedule, pricing comparison, and board or management approval record if any. If no formal approval existed, please say so in writing。」
「即係你哋唔信我。」
「We need the prospectus to be able to say what happened。」
電話那邊沒有聲音。
過了幾秒，金兆滿說：「國柱，俾佢哋。」
電話掛斷後，小房裡安靜得只聽見冷氣。
Raymond 第一個開口。
「This is now an issue。」
Marcus 點頭。「Potential connected person / related-party accounting and revenue quality issue。」
Raymond 看著他。
「Don't over-label。」
Nancy 在 speakerphone 裡說：「Label accurately. Pending evidence。」
Marcus 轉向郭正行。
「C-hing, update issue tracker. Exact wording: `Potential connected person / related-party accounting and revenue quality issue - pending client evidence`。」
郭正行打字時，手指有一點麻。
一件事由「小小 supplier follow-up」變成 issue tracker 裡的一行，感覺很奇怪。沒有鑼鼓，沒有掌聲，沒有俠客拔劍。只有一個 cell，status 由 amber 變成 red-amber。
但他知道，這就是江湖裡真正的升級。
晚上，Brian 去了陸承恩的晚飯。
地點不是紅燈坊，而是一間中環高級中菜廳。房裡沒有女伴，沒有紅燈，沒有誇張音樂。只有一張圓桌、兩壺茶、幾碟菜，和一種比酒局更安靜的權力。
陸承恩沒有帶很多人，只帶了一個年輕助手。助手全程少說話，只負責倒茶、遞文件、在適當時候消失。
「今日 call，好精彩？」陸承恩問。
Brian 筷子停了半秒。
「You seem well informed。」
「香港很小。」陸承恩笑，「中環更小。」
Brian 沒有接。
陸承恩夾了一塊魚。
「你哋問 rebate，問 relationship，問 disclosure。無錯。香港市場就靠呢套。但有時候，一間公司香港起家、喺內地放大，早期不可能像 textbook。你把所有疤痕都攤出來，投資者看到的就不是成長，是傷口。」
Brian 說：「Investors need to know material facts。」
「當然。」陸承恩點頭，「但誰來決定 material？外資大行？律師？還是市場？」
Brian 沒有回答。
陸承恩放下筷子。
「Brian，你很適合做大 deal。你不只是懂規矩，你懂規矩背後的目的。北境需要這種人。香港也需要這種人。」
「我現在只是 analyst。」
「今日是。」陸承恩說，「但你想一世幫人改 footnote，還是想坐上 deal table？」
這句話不大聲，卻比昨晚那句 `Some stories need capital before they need permission` 更重。
Brian 望住茶杯裡的倒影。
他想起萬利門 bullpen，想起 Raymond 的房門，想起 Marcus 疲倦的眼神，想起郭正行問一句問題就被全房人盯住。
他也想起金兆滿說沙士時戴住口罩搬麵粉。
如果香港規矩是為了保護市場，那北境的速度又是不是為了讓更多公司活下去？
這個問題太方便。
方便到 Brian 知道它危險。
陸承恩遞給他一張小卡。不是公司名片，只有一個私人號碼。
「不用急。袁先生喜歡等有用的人自己想清楚。」
Brian 收下。
他沒有答應。
但也沒有還回去。
同一晚，萬利門收到金滿堂補件。
Relationship chart。
Rebate schedule。
Pricing comparison。
還有一份舊公司資料摘要。
郭正行、Marcus、Nancy 在小房裡逐份看。
Relationship chart 上，金美儀與金兆滿之間畫了一條很淡的線：
`Distant relative / family acquaintance`
淡到像怕人看見，又不敢完全不畫。
Rebate schedule 顯示，滿裕在二零零三至二零零四年間向幾間加盟商提供過 support rebate。金額不算大到可以一槌定音，但剛好集中在金滿堂 revenue 增長最快的幾個季度。
Nancy 看完，只說：
「Convenient timing。」
Marcus 沒有笑。
郭正行翻到最後一頁。
那是一個 historic corporate note。裡面提到，金美儀與金兆滿曾在二零零一年前後共同持有一間離岸公司的一部分權益。公司已經 inactive，沒有併入金滿堂。
公司名叫：
`Harbour Yield Holdings Limited`
註冊地：BVI。
Nancy 的聲音從電話裡傳來。
「Do we have shareholder registers？」
Marcus 說：「Not yet。」
「Pull everything we can. Historic shareholders, transfers, related Hong Kong entities, bank references if available. This is now an ownership trail。」
Ownership trail。
郭正行看著 `Harbour Yield` 兩個字。
滿裕不是答案。
滿裕是一隻手。
而這間離岸公司，像一隻藏在袖裡的舊手套。
手機震了一下。
Yoyo:
> 查錢流，最後一定要問 ownership。
郭正行望住 screen，沒有回。
Raymond 說過，no side conversations。
但他忽然明白，Yoyo 沒有要他爆料。
她只是早就知道，金融江湖裡，錢走到最後，總要問一件事：
誰擁有那扇門。
