第八章 暗格舊數生寒意，白紙黑字逼真章
Excel 最可怕的地方，不是公式錯。
公式錯，最多是紅字、warning、circular reference，總有東西彈出來提醒你：喂，呢度唔對路。
Excel 最可怕的地方，是它可以好安靜。
安靜到一個 hidden tab 可以躲在底部幾個月，安靜到一行 hidden row 可以把幾千萬交易額收埋，安靜到所有人打開檔案時，只看見乾淨漂亮的一頁 summary，然後點頭說：manageable。
郭正行望住 `Backup_old`。
`MY support rebate to franchisees - exclude from presentation?`
這句話像一支針，插在整份 workbook 的心口。
他第一個反應不是興奮，而是驚。
因為他終於明白 Seven 叔所謂白紙黑字，不是童話裡的真相。白紙黑字有時比口供更滑。它可以改名，可以 hide，可以 version control，可以由「rebate」改成「non-recurring support」，再由「support」改成「commercial adjustment」。
江湖上最利的刀，未必係刀。
有時係一個 cell。
郭正行沒有再改任何東西。他先 screenshot，然後把原 email、附件、另存副本全部放入 deal folder 的 restricted subfolder，再寫了一封 email 給 Marcus。
Subject line：
`Golden Bun - Mun Yu revised summary / backup tab observation`
內文很短：
`Marcus, I noticed the revised supplier summary contains a hidden backup tab with materially higher Mun Yu transaction amounts and a note referring to "MY support rebate to franchisees - exclude from presentation?". I have not modified the source file other than saving a copy for record. Please advise next steps.`
他望住 send button，停了兩秒。
這次他沒有打電話，沒有衝入房，沒有在 client call 裡忽然補一拳。
他按下 send。
五分鐘後，Marcus 出現在他身後。
「Room. Now。」
小房裡，Marcus 看完原檔，又看 screenshot。這次他沒有咖啡，手指也沒有敲桌。
「Good that you didn't edit the source file。」
「呢個算唔算證據？」
Marcus 看著 screen。
「It is evidence that there was another version. It is not evidence of wrongdoing by itself。」
郭正行點頭。他聽得出 Marcus 在壓住自己語氣。
「But it is enough to escalate。」
Marcus 打給 legal。十分鐘後，電話那邊接入萬利門外聘律師：南希仁 Nancy Nam。
Nancy 聲音乾淨，句子短，像每個字都已經被 prospectus committee 批准。
「Send me the original email, all attachments, and the saved copy. Do not circulate further. Do not accuse client of manipulation. Ask for explanation in writing。」
Marcus 問：「Should we mention hidden tab?」
「Yes, factually. Say the file appears to contain a backup worksheet with different figures. Ask them to reconcile。」
郭正行第一次聽到有人把「你做乜 hide row」講到咁文明。
Nancy 繼續：「Also ask whether any rebates, support payments, subsidies, discounts or other arrangements were provided by Mun Yu to franchisees or the group. Those could affect revenue quality, margins, and related-party disclosure。」
Marcus 寫低。
「And one more thing。」Nancy 說，「If May Kam or Kam Mei Yee is connected to Chairman Kam, we need full background. Not nickname, not casual relationship. Full legal relationship。」
電話掛斷後，Marcus 靜了一秒。
「C-hing, draft the question list. Factual only. No adjectives。」
「No adjectives？」
「No suspicious, no strange, no problematic, no weird。」
郭正行打開 Word，打了一行：
`Please explain the purpose of the "Backup_old" worksheet and reconcile the transaction amounts therein with the revised summary.`
他想了想，又打：
`Please explain the nature of "MY support rebate to franchisees" and whether it refers to Mun Yu, May Kam, or any other party.`
這一句打完，小房冷了半度。
Marcus 看著 screen，沒有叫他刪。
「Good. Send to Nancy first。」
下午，Brian 回來時，已經換了另一條 tie。
他坐低，看到 Marcus 小房門關著，legal call invite 又彈出來，眉尾微微一動。
「What happened?」
郭正行望住他。
「Revised summary 有 hidden backup tab。」
Brian 的表情只變了半秒，快到如果不是郭正行一直看著他，可能會錯過。
「How bad?」
「滿裕交易額比 summary 高好多。仲有 MY support rebate。」
Brian 沉默了兩秒。
「Could be working draft。」
「我知。」
「Could be non-recurring support。」
「我知。」
「Could be something they planned to exclude because it's not relevant to ongoing business。」
「我都知。」
Brian 看著他。「咁你想點？」
郭正行說：「問佢白紙黑字解釋一次。」
Brian 靠在椅背上，笑意很淡。
「係咪上次個高人教你？」
郭正行沒有答。
Brian 低聲說：「師兄，有時你要分清楚，問題係真問題，定係 process 製造出來的問題。中國民企好多早期安排都 messy。你如果每一樣都要用 textbook 清到一塵不染，十間有九間上唔到市。」
「咁第十間呢？」
「第十間？」Brian 看著他，「第十間會搵另一間 bank。」
兩人又靜。
郭正行忽然覺得 Brian 不是在替金滿堂辯護。
他是在替一個更大的速度辯護。
傍晚，Nancy 改好問題清單，由 Raymond 發給梁國柱。今次 subject line 仍然溫柔，但內容已經少了糖衣。
`Please reconcile the revised summary with the backup worksheet in the file.`
`Please explain all rebates, support payments, subsidies or discounts involving Mun Yu and franchisees.`
`Please confirm whether Kam Mei Yee / May Kam has any family, business or other relationship with Chairman Kam, his family members, directors, shareholders or senior management.`
Email 發出後，Raymond 把 team 叫入房。
「This is getting sensitive。」
沒有人需要他提醒。
Raymond 望向郭正行。
「You did the right thing escalating. But from now on, everything through Marcus or legal. No side conversations with Yoyo Wong or anyone else on this issue。」
郭正行心裡一跳。
「Understood。」
Brian 看了他一眼。
那一眼不是敵意，但有一點「你睇，江湖開始收窄」的意思。
Raymond 繼續：「If client explains, we move on. If not, we decide whether this affects our willingness to sponsor. Until then, no drama。」
No drama。
中環最鍾意 no drama。因為 drama 會上 email，email 會上 committee，committee 會問誰 first noticed，誰 failed to escalate，誰 signed off。
晚上八點，郭正行收到 Yoyo SMS。
> 你今日靜咗。
他望著手機，想起 Raymond 的話。
No side conversations。
他打了幾個字，又刪。
最後只回：
> 今日學緊白紙黑字。
Yoyo 很快回：
> 小心，白紙黑字有時係白紙黑字咁呃人。
郭正行忍不住笑了一下。
下一秒，梁國柱的回覆到了。

`Re: Golden Bun - Mun Yu follow-up`
Raymond、Marcus、Nancy、Brian、郭正行都在收件人名單。
內容很長。
梁國柱解釋，`Backup_old` 是舊 working file，包含若干 franchisee support items，並不反映上市集團持續供應成本；`MY support rebate` 是 Mun Yu 向若干加盟商提供的 early-stage promotional support，不是金滿堂收入，也不應納入 normalized margin analysis。
每句都像答案。
但每句都沒有回答最重要的一件事：
為什麼一間所謂 independent supplier，要替金滿堂加盟商提供 support rebate？
Nancy 很快回了三個字：
`Need call.`
Raymond 看著 screen，揉了揉眉心。
「Tomorrow morning.」
Brian 的 BlackBerry 在桌下震了一下。
他低頭看。
Lu Shing Yan:
`Some stories need capital before they need permission. Dinner tomorrow?`
Brian 沒有即刻回。
他把電話反轉，像昨晚一樣。
郭正行沒有看到訊息內容，只看到那個動作。
同一時間，他自己的手機也震。
Seven 叔：
> 第五掌：數字會講大話，但大話通常講唔齊。聽佢漏咗邊句。
郭正行望住梁國柱的 email。
Mun Yu 是 independent supplier。
MY support 是 promotional support。
Not ongoing。
Not group cost。
Not normalized。
每一個 not 都像一塊布，蓋住桌上一件東西。
但布越多，桌形反而越清楚。
他在 notebook 寫下四個字：
`Who paid?`
然後再寫：
`Who benefited?`
窗外中環夜色很亮。每一棟樓都像上市文件裡的封面，玻璃乾淨，燈光有序。
但郭正行開始懂得，真正的江湖不在封面。
在 hidden tab。
在 rebate。
在一句沒有回答的問題。
