第十六章 半名半句藏身法，董事紙上起暗潮
第二朝，萬利門的 bullpen 有一種很特別的安靜。
不是無人講嘢。
而是人人都壓低聲講嘢，好似整層樓有一個病人，大家怕吵醒他。
那個病人叫 Golden Bun。
Raymond 一早已經在小會議室，speakerphone 放在桌中央，旁邊是 coffee、printout、紅筆、legal pad，以及一個投行人最怕看見的東西：董事會 minutes。
Minutes 這種文件，平時像睡著的龜。
一到出事，它就忽然伸頭咬人。
Nancy 把 Golden Bun 昨晚寄來的 chronology 投到 screen 上。
「今日有三件事。第一，金記身份。第二，Mr. Yeung identity。第三，client attempt to frame 2003 arrangement as emergency support only。」
Marcus 說：「Emergency support 可以係 context。」
郭正行接住：「但唔係 conclusion。」
Nancy 看了他一眼。
「Good. You are learning not to hate context。」
Raymond 低聲說：「我而家比較 hate client。」
電話接通。
梁國柱的聲音比平時乾。
「Raymond，Nancy，早晨。主席等陣會 join。我先同大家 walk through 個 chronology。」
Raymond 說：「Let's keep it factual。」
梁國柱停了一秒。
「Of course。」
中環江湖最有趣，是每個人都話 factual，但每個人心裡的 fact 都有不同折扣。
梁國柱開始講。
2003 年沙士後，Golden Bun 幾間舖生意跌到見底。租金、人工、食材、設備 lease 全部壓上來。銀行不肯借，股東又不想再放錢。金兆滿找來舊相識幫忙，透過 Harbour Yield 提供一筆短期 advance，由 Golden Harvest Catering Equipment 買入二手中央廚房設備，再用供應安排逐步扣回。
聽上去很像一個香港創業故事。
有人撐，有人借，有人捱，有人不問太多。
問題是，今日它不是在茶記講舊事。
今日它在招股書裡排隊等上市。
Nancy 問：「Who controlled Harbour Yield at the time？」
梁國柱說：「According to management, Harbour Yield was held by an offshore nominee arrangement。」
Marcus 忍不住。
「Nominee for whom？」
梁國柱咳了一聲。
「We are checking historic records。」
Nancy 沒有情緒。
「Then do not state independent funding source until checked。」
電話另一邊靜了一秒。
郭正行看見 Raymond 在紙上寫了兩個字：
`Good hit`
他差點笑。
金兆滿在這時加入。
「Nancy，我明你哋做嘢要小心。但我都講一句，當年如果冇呢啲 support，Golden Bun 今日唔會存在。你而家要我哋將救命水寫到好似毒藥咁，對公司公平咩？」
Nancy 說：「金生，救命水不是毒藥。但如果投資者不知道水從邊度來、邊個供、點樣還，就無法判斷你公司的 margin、supplier independence 和 founder support。」
金兆滿聲音沉下去。
「投資者會明白沙士咩？」
Raymond 接過。
「投資者未必明白沙士。但佢哋會明白 concealment。」
他停了一停，又補：「Market can forgive scars。It doesn't forgive surprises。」
這句一出，房內幾個人都抬頭。
Raymond 自己也像被自己嚇了一跳。
金兆滿那邊很久沒有聲。
然後他說：「你以前唔係咁同我講嘢。」
Raymond 看住桌上的 minutes。
「以前我哋未見到呢批文件。」
Call 繼續。
問到金記時，梁國柱承認金記食品供應曾由金兆滿一位堂兄及金美儀協助運作，早期為 Golden Bun 分店提供部分食材和包裝材料。後來因為擴張需要，供應安排轉入滿裕貿易和其他供應商。
問到 May Kam，他仍然用 family acquaintance。
Nancy 說：「Extended Kam family member？」
梁國柱停了一下。
「Yes, extended family member。」
郭正行在 memo 裡把 `suspicion` 改成：
`documented family connection; exact relationship / control pending`
他沒有覺得爽。
只是覺得一個字從霧裡走出來。
問到 Mr. Yeung 時，梁國柱語氣最小心。
「Our understanding is Mr. Yeung was an external adviser associated with Tai Shun. He assisted with documentation and coordination only. He was not a shareholder, director, or decision-maker of Golden Bun。」
Marcus 問：「Full name？」
「We are confirming。」
Nancy 說：「The board minutes refer to `T. Yeung present by invitation`. If you cannot confirm full identity, please do not rely on his limited role as a fact。」
金兆滿忽然說：「佢只係幫手寫文件。」
房間內，郭正行的筆停了。
Nancy 問：「Chairman Kam, when you say 佢, who do you mean？」
金兆滿靜了半秒。
「Mr. Yeung。」
「Full name？」
「我唔記得英文全名。」
這句話落在 speakerphone 上，像一粒石跌入水。
不是因為它一定是假。
而是因為每個在中環做過舊 deal 的人都知道，有些名字你是真的忘記，有些名字你是希望市場忘記。
Call 完結後，房裡沒有人即刻講話。
Raymond 先開口。
「佢記得沙士每一間舖點死，唔記得邊個幫佢寫文件。」
Marcus 說：「人會 selective memory。」
Nancy 說：「招股書不接受 selective memory。」
郭正行望住 board minutes。
`T. Yeung present by invitation.`
`Funding advance arrangement discussed.`
`Supply offset mechanism approved in principle.`
這三句不夠定罪。
但夠開一扇門。
下午，Brian 在另一個 meeting room 參加 unrelated pitch prep。那是一間醫療器材公司的 beauty parade，deck 很乾淨，comps 很漂亮，沒有 Golden Bun 的舊味。
但他整個人像被放錯了 file。
VP 問他：「Brian, any view on valuation range？」
Brian 望住 screen。
「Range is defensible, but revenue concentration disclosure needs more work。」
VP 呆了一下。
「We are not there yet。」
Brian 點頭。
「Then we should get there before client asks。」
會議室靜了靜。
那一刻，Brian 忽然討厭自己。
因為他知道這句像師兄。
更討厭的是，它是對的。
散會後，他收到父親的 SMS：
`阿康，昨晚睡得嗎？`
Brian 看著那句，很久才回：
`OK。你之後如果有任何補充，直接經我俾 Nancy。唔好同任何人講。`
父親回得很慢。
`我明。當年我就係太信人講。`
Brian 把手機反轉。
他不想在 office 想起屋企。
但屋企已經坐進 office。
傍晚，Golden Bun 補發一份 revised chronology。這次多了一句：
`Mr. Yeung is believed to be Mr. Yeung Tit Shing, then associated with Tai Shun Financial Advisory.`
郭正行看到時，吸了一口氣。
他沒有說「confirmed」。
他打：
`Client belief: Mr. Yeung = Yeung Tit Shing. Need written confirmation from Yeung / Tai Shun records if relied upon.`
Marcus 站在他身後。
「你而家好煩。」
「多謝。」
「我係讚你。」
「我知。」
晚上七點，Raymond 收到金兆滿私人電話。
這次他沒有開 speaker。
他出去走廊講了十五分鐘。回來時，他的臉色像剛被人請食一碗沒味的白粥。
「主席話，如果 disclosure 要寫到咁，投資者會覺得 Golden Bun 係靠 related party support 先有今日 margins。」
Nancy 問：「Is that inaccurate？」
Raymond 沒答。
因為最難的不是謊言。
是某些真相，講出來之後，會令一個好故事變得不夠好賣。
Marcus 說：「Deal 可能要 pause。」
Raymond 沉默。
郭正行本來以為他會反對。
但 Raymond 只是坐下，望著桌上的 minutes。
「如果 pause，可以話係 additional due diligence？」
Nancy 說：「Yes。」
「如果 client 轉 bank？」
「Then they transfer the issue with them。」
Raymond 苦笑。
「你講到好似有 bank 會怕 issue。」
Nancy 看住他。
「不是怕。是要知道。」
晚上九點，北境那邊終於動了。
不是給 Brian。
是給 Raymond。
一封很客氣的 email，由陸承恩的 assistant 發來，邀請萬利門 senior team 出席一個下星期的「Cross-border Consumer Growth Forum」。主辦方是 Northern Palace Capital，特別嘉賓欄寫著：
`Senior representatives from Hanhai Capital`
沒有任何個人名字。
但在中環，有些名字不出現，反而更像出現。
Raymond 把 email 轉給 Marcus 和 Nancy。
Subject 只有一句：
`They can smell timing.`
郭正行沒有收到那封 email。
Brian 收到了另一封。
陸承恩：
`下星期有個 forum，你應該來。不是談 Golden Bun。談十年。`
Brian 看著「十年」兩個字。
萬利門在問 2003。
北境在講 2010。
他突然明白誘惑為什麼有效。
因為一邊叫你回頭看傷口，一邊叫你抬頭看山頂。
而人最想逃避的，往往不是山。
是自己腳底那條血路。
