第五十一章 批次一線穿倉影，牆外名帖試人心

星期二早上，Henry Hon 帶來一疊紙。

不是很厚。

但每一頁都像有重量。

封面寫著：

`Project Silk Road - Warehouse Financing Final Reconciliation`

Marcus 第一眼看到 `final` 這個字，沒有笑。

他只說：「Final 呢個字，通常係第一個會死的字。」

Henry 把紅筆放在桌上。

「所以我用鉛筆簽。」

Raymond 看著那疊紙，像看見一個會遲到但終於出現的 cornerstone。

「Tell me no double pledge。」

Henry 看他。

「你想聽舒服說法，定想聽可以寫落 file 的說法？」

Raymond 閉嘴。

Nancy 坐下。

Andy Or 站在白板旁邊，手上拿著一份 conflicts memo。

Brian 不在房。

不是沒有人想起他。

正正因為有人想起，所以他不在房。

郭正行打開 reconciliation schedule。

Henry 用鉛筆指住第一欄。

`Inventory batch ID`

第二欄。

`Customer acceptance date`

第三欄。

`Warehouse receipt issue date`

第四欄。

`Facility drawdown date`

第五欄。

`Lender confirmation`

「逐批對過。」Henry 說，「大部分係 timing issue。Transit stock 先用倉單 drawdown，之後 customer acceptance。唔靚，但物流行業合理。兩個例外，client 提供咗 bank confirmation 同 goods movement log，證明係同一 warehouse code 下不同 batch。」

Raymond 問：「So no double pledge？」

Henry 說：「No identified double pledge based on documents reviewed。」

Marcus 立刻寫低。

「Based on documents reviewed。」他說，「唔好漏。」

Henry 點頭。「我就係等你講呢句。」

Nancy 翻到另一頁。

`North Harbour / Bright Route representation`

Andy 接手。

「Company search shows North Harbour remains 40% shareholder of Bright Route. Legal representation says no Silk Road director, shareholder, close associate, or senior management controls North Harbour. Ultimate controller not fully evidenced. We cannot call it Northern Palace. We also cannot ignore economic influence。」

Raymond 揉眉心。

「即係又係醜但可寫。」

Nancy 說：「醜而可寫，已經係上市文件入面一種福氣。」

郭正行看著那句 `Ultimate controller not fully evidenced`。

如果是幾個月前，他會覺得這句太弱。

現在他知道，有時真相不是一條直線，而是一段可以誠實交代的距離。

Marcus 把 issue tracker 打開。

`Warehouse financing reconciliation - documented, subject to sponsor counsel review`

`North Harbour ownership / control - representation received, ultimate controller not fully evidenced`

`Rental support - quantified, period and end date disclosed`

`Current controls - board / audit committee approval threshold to be disclosed`

Henry 看完，說：「你哋啲 tracker，好似醫院病歷。」

Nancy 說：「比醫院病歷少啲人情，多啲律師費。」

Raymond 終於笑了一下。

笑完，他問：「Can we launch?」

房裡靜了。

這句話像一個鐘聲。

上一次 sponsor committee 說可以 proceed subject to conditions。

而今天，條件第一次似乎不是一堆牆。

是幾道還可以走過去的門。

Nancy 說：「Subject to final sponsor counsel sign-off, revised disclosure and no new adverse fact, yes。」

Andy 補：「And Brian remains restricted from North Harbour / Bright Route materials。」

Raymond 看向門外。

「Can he work on market update？」

Andy 想了一下。

「Execution workstream only. No access to North Harbour file, no discussion of rental support mechanics, no involvement in investor Q&A on those points。」

Marcus 說：「I will tell him。」

「No。」Nancy 說。

眾人看向她。

Nancy 合上文件。

「I will tell him. This is a restriction, not gossip。」

下午，Brian 被叫入一間小房。

Nancy 坐在對面。

Marcus 在旁邊。

郭正行沒有入房。

他只在外面看見玻璃反光。

Nancy 講得很短。

「You are cleared for execution workstream only. Market update, generic sector materials, timetable. No North Harbour, no Bright Route, no rental support, no warehouse reconciliation。If anyone asks you about those, you refer them to Marcus or me。」

Brian 聽完，點頭。

「Understood。」

Nancy 看著他。

「This is not because you are guilty。」

Brian 笑了一下。

「People keep telling me that。」

「Then listen harder。」Nancy 說。

他沒有再笑。

晚上七點，Brian 收到一個短訊。

不是陸承恩。

`Mr. Yuan would be pleased to meet you for tea. Industry only. No client names.`

下面是一個地址。

不是紅燈坊。

不是文華。

是一間在金鐘新開的會員制茶室，名字很乾淨：

`North View`

Brian 看著那兩個字。

North。

它沒有寫北境。

但也不需要寫。

他把電話反轉。

又反回來。

這一次，他沒有立刻刪。

他打開自己的 notebook。

在空白頁上寫：

`Industry tea - Yuan Honglie`

然後停住。

他想起 Nancy 的臉。

想起郭正行站在 restricted room 外那種笨拙的關心。

最後，他在下一行寫：

`No client discussion. No materials.`

他盯著那兩句，想起文華那晚之後補發給 Nancy 的 email。

這一次，他沒有只寫給自己。

他打開 BlackBerry，給 Nancy 發了一封短 note：

`Public industry tea request from Mr. Yuan. No client names, no materials, no live mandate discussion. Please record.`

寫完，他沒有舒服。

只是覺得自己至少還知道哪裡有線。

而知道有線，有時已經是最危險的第一步。

Nancy 的回覆在二十分鐘後來。

`Recorded. Public industry only. Post-meeting note by close of day if contact proceeds. This is not clearance to discuss any live mandate.`

Brian 看著 `if contact proceeds`。

她沒有禁止。

也沒有准。

Nancy 的語言有時像一條很窄的橋，只讓你知道哪裡可以踏，不替你決定要不要過。

他把 message forward 到自己的 personal note folder。

然後又刪掉那個念頭。

Personal note folder。

這個詞本身已經像一個危險笑話。

他改為在 office notebook 寫：

`Nancy recorded. Boundary: public industry only; no live mandate.`

這樣比較冷。

也比較誠實。

同一晚，郭正行在另一邊準備 launch checklist。

`Final reconciliation`

`Disclosure update`

`Investor Q&A`

`Media log`

`Information wall confirmation`

最後一項，他停了一下。

他知道 Brian 已經收到 execution-only clearance。

也知道 Brian 今日主動 note Nancy。

這些都是好事。

但好事也可以很痛。

因為每一次主動留痕，都像承認自己身上有一個別人沒有的風險。

Raymond 經過，看見他停在那一行。

「你又諗人？」

郭正行抬頭。

「咁明顯？」

「你諗文件時眉頭向左，諗人時眉頭向右。」

「你幾時學識睇眉？」

「做 banker 要睇 client 幾時想反口。」Raymond 說，「同一套技術。」

他坐到旁邊。

「Brian 會唔會走，我唔知。但你要記住，你唔係佢嘅 compliance officer。」

「我知。」

「你也唔係佢嘅救生艇。」

郭正行沒有答。

Raymond 難得沒有笑。

「同門可以敲門，但不能替人選房。」

這句不像 Raymond。

比較像一個熬過很多同門分道的人，短暫露出真正的語氣。

郭正行點頭。

夜裡，Yoyo 發來訊息。

`你今日好靜。`

他回：

`Launch checklist.`

`我問你，不是問 checklist。`

郭正行看著這句。

過了很久，他回：

`有啲人可能越走越遠。`

Yoyo 沒有問是誰。

`咁你有無留燈？`

他看著 office 裡一排還亮著的燈。

`有。`

`咁你都要記得熄自己房入面嗰盞，瞓覺。`

郭正行笑了一下。

Silk Road 快要 launch。

Brian 快要去喝一杯 public industry tea。

而他自己，仍然在學：留燈不等於守夜到天光。
