第五十二章 救路半寸不可假，早停一念是真章

Silk Road 的 revised disclosure draft 第三版，凌晨一點半才回來。

版本名很長：

`PSR_A1_RiskFactors_HistoricalSupport_v3_client_clean.doc`

Marcus 看見 `client clean` 三個字，先飲一口咖啡。

「Client clean 通常唔 clean。」

郭正行打開。

第一處 mark-up 在 `Historical logistics park support arrangement`。

原句：

`The Group benefited from a temporary rental support arrangement during the ramp-up period of the relevant logistics park.`

Client 改成：

`The Group entered into ordinary commercial arrangements during the ramp-up period.`

Nancy 看了一眼。

「No。」

Raymond 說：「Maybe they just want softer language。」

Nancy 說：「Soft language is fine. False language is not。」

第二處。

原句：

`Bright Route is 40% owned by North Harbour Strategic Investments, whose ultimate controller has not been fully evidenced to the Sponsor as of the Latest Practicable Date.`

Client 刪走整句。

房裡很靜。

不是因為大家驚。

是因為大家都知道，這一下不是 wordsmith。

這一下是選擇。

Marcus 問：「Raymond？」

Raymond 沒有立刻答。

他的眼睛停在刪除線上。

一條紅線，劃過 `not been fully evidenced`。

像有人想把未查清三個字，從世界上抹走。

「Call Victor。」Raymond 說。

電話十五分鐘後接通。

Victor Luo 的聲音很疲倦。

「Raymond，我知你哋想寫。但如果寫 North Harbour ultimate controller not fully evidenced，投資者會覺得我哋有黑箱。」

Nancy 說：「If we remove it, and investors later ask, it becomes a real black box。」

Victor 沉默。

Elaine Yu 在旁邊接話。

「North Harbour 不是 connected person。」

Andy Or 開口。

「We are not saying it is. We are saying what has and has not been evidenced。」

Elaine 說：「咁樣寫，好似你哋唔信我哋。」

Marcus 說：「Trust is not a substitute for disclosure。」

電話那邊無聲。

Raymond 最後說：「Victor，如果你要我們 recommend launch，呢句要有。可以改語氣，可以加 representation，可以寫 current controls。但不能 delete the uncertainty。」

Victor 問：「如果我堅持刪？」

Raymond 看著 Nancy。

Nancy 沒有看他。

她只看著文件。

郭正行聽見自己的心跳。

這一刻，他忽然明白上一次 sponsor committee 裡自己那句「如果不完整，停」不是好聽。

它今天要付錢。

Raymond 說：「Then we cannot launch on current timetable。」

電話那邊很久沒有聲。

久到郭正行以為線斷了。

最後，Victor 說：「俾我一晚。」

Call 斷了。

房裡沒有人鼓掌。

因為這不是勝利。

是銀行正式承認，自己可以放棄一單快要到手的 deal。

早上四點，郭正行走出萬利門。

他沒有回家。

他去了金華冰廳。

Seven 叔竟然在。

「你哋中環人係咪唔使瞓？」

郭正行坐下。

「有時瞓咗會錯過有人想刪最難看的字。」

Seven 叔把奶茶推過去。

「刪咩字？」

郭正行停了一下。

他記得規矩。

「唔講 client。General 問題。」

Seven 叔點頭。

「好。」

「如果一個人肯講九成真話，但最重要嗰半成都想收起，咁係咪應該繼續救？」

Seven 叔望住他。

茶記電視播緊晨早新聞。

有人講樓市，有人講復甦，有人講香港又快返去以前。

Seven 叔慢慢說：「你而家學到最煩嗰掌。」

郭正行坐直。

「降龍十八 Pitch，第十三掌？」

Seven 叔用筷子敲了敲碟邊。

「守住不救的界線。」

郭正行沒有出聲。

Seven 叔說：「救 deal，同救人一樣，最怕你覺得自己好偉大。對方有路講真話，你就要留路。對方有路都要遮，你就要守住唔救。」

「停 deal？」

「如果要停，就停。」Seven 叔說，「江湖入面最難練嘅唔係出掌，係收掌。你唔收，下一次人哋就知，只要拖到最後，你一定會心軟。」

郭正行看著奶茶面上的薄膜。

「但如果公司真係有 operation，真係有人靠佢食飯？」

「咁你更唔可以幫佢學壞。」Seven 叔說，「有生意的人，值得有真話。唔係值得有假話。」

早上八點，Victor Luo 回覆。

不是電話。

是一封 email。

`We can accept revised wording provided representation and current controls are clearly stated.`

下面附了公司律師新版本。

語氣仍然難看。

但真。

Nancy 看完，只說：「Good enough to review。」

Raymond 坐回椅上。

像一個人剛剛由懸崖邊行返來。

Marcus 把 tracker 改成：

`Disclosure uncertainty retained. Client accepted revised wording.`

郭正行看著那行字。

這不是大勝。

但第十三掌，原來就是這樣。

你把手收回來。

讓對方知道，你真的會停。

然後，如果他仍然願意講真話，你才再陪他走下一步。

那天上午十點，team 重新開會。

Raymond 把 Victor 的新 wording 放到 screen 上。

`The Group benefited from a temporary rental support and service fee adjustment arrangement during the ramp-up period. The arrangement was limited to six months and has ended.`

第二句：

`North Harbour holds a minority interest in Bright Route. Based on legal representations received, no director, shareholder, close associate or senior management member of the Group controls North Harbour; however, the ultimate controller of North Harbour has not been fully evidenced to the Sponsor.`

房裡沒有人覺得漂亮。

但每個人都知道，這已經比昨晚誠實。

Nancy 說：「We can work with this。」

Marcus 補：「Add current controls and approval thresholds。」

Raymond 看著郭正行。

「C-hing，Q&A impact？」

郭正行翻到 investor question list。

「第一，why support needed。第二，why ended。第三，who approved。第四，why North Harbour uncertainty acceptable。第五，valuation impact。」

Henry 在旁邊說：「仲有第六，cash conversion。」

Samson 說：「第七，記者會問係咪有北水背景。」

Andy 立即說：「No speculation on 北水。」

Raymond 揉眉。

「我懷念三日前，以為自己只係做物流 IPO。」

Nancy 說：「That was your fantasy. We are now in disclosure。」

房裡笑了一下。

笑聲很累。

但有用。

下午，Victor Luo 親自來到萬利門。

他沒有帶很多人。

只帶了 Martin Lam。

他坐下後，第一句是：「昨晚我想過停。」

Raymond 沒有急。

Victor 繼續：「不是因為你哋錯。是因為我覺得，上市前已經要寫成咁，上市後會更辛苦。」

Marcus 說：「會。」

Victor 看著他。

「你哋真係唔識安慰 client。」

Marcus 說：「我哋可以安慰，但最好先講真。」

Victor 低頭笑了一下。

「後來我問自己，如果連呢幾句都不肯寫，憑咩叫 public investors 信我哋以後更難看的事都會講？」

這句一出，房間裡靜了。

郭正行忽然覺得，Victor Luo 和金兆滿很不同。

金兆滿是被市場逼到承認舊傷。

Victor 是在計算一條路是否值得繼續走。

兩種 founder 都有自尊。

只是自尊的形狀不同。

Raymond 說：「Then we move forward, carefully。」

Victor 點頭。

「Carefully, but not cowardly。」

這句終於有點像 Silk Road。

晚上，郭正行去找 Seven 叔。

他沒有講 client 名。

只說：「如果對方肯把最難看的字放返入去，係咪代表可以救？」

Seven 叔正在剝烚蛋。

「唔代表。」

郭正行愣住。

「咁代表咩？」

「代表佢有資格繼續被問。」Seven 叔說，「後生仔，唔好一見人肯講真，就當佢已經完成救贖。講真係門票，唔係獎盃。」

郭正行想了一下。

「咁第十三掌不是收掌就完？」

「收掌之後，睇對方點行。」Seven 叔說，「佢肯行正路，你陪。佢轉頭又想走側門，你再收。」

他把烚蛋切開。

「一個好 sponsor，唔係因為佢肯停一次。係因為佢每次都肯停。」

這句很煩。

因為它沒有結局感。

但也正因為沒有結局感，才像真金融。

凌晨，郭正行回到 office，把 tracker 那一行改成：

`Client accepted revised wording; continue verification of controls and final Q&A.`

不是 `resolved`。

是 `continue`。

第十三掌，原來不是一個剎掣。

是提醒自己，每一腳油門都要知道剎車仍然有效。
