第五十七章 龍門初開聞熱錢，基石未落問誰人

新 mandate 來得很快。

快到郭正行還未完全把 Silk Road 的 closing file 從腦裡放下，Raymond 已經叫他入房。

會議室白板上寫著：

`Project Dragon Gate`

下面一行：

`Longmen New Energy Components Co., Ltd.`

龍門新能源。

內地民營製造商。

做太陽能玻璃、支架和部分上游組件，故事講得很漂亮：

新能源、出口、地方政府支持、產能擴張、港股牛市。

四個詞，足夠令 ECM 同事眼睛發亮。

Wendy Yuet 第一次走入房時，手上拿著一杯黑咖啡。

她不是萬利門最 senior 的人。

但所有人都自然讓她坐近 screen。

Raymond 介紹：「Wendy，syndicate。」

郭正行看著她。

Wendy 笑了一下。

「Syndicate 即係建簿同 allocation 嗰邊。簡單講，當你哋 upstairs 講公司值幾多，我哋 downstairs 睇市場肯畀幾多，最後邊個分到貨。」

她說得像在介紹一種天氣。

自然。

也有點冷。

Marcus 翻開 client background。

「龍門上一輪 pre-IPO financing，三個月前完成。Investor 叫 Northern Bridge Strategic Fund。」

房裡安靜了一下。

不是因為名字肯定有問題。

是因為 `Northern` 這個字在這個團隊裡，已經不能再只是方向。

Nancy 抬頭。

「Any link to Northern Palace？」

Marcus 說：「Not confirmed. Initial company search says Cayman fund, adviser based in Beijing, ultimate LPs not fully visible。」

Wendy 抿了一口咖啡。

「Market will love the name if they don't ask too much。」

Nancy 說：「We are paid to ask too much。」

Raymond 指住另一頁。

「Client wants cornerstone support from three names. Peach Blossom is one potential. Hanhai network may bring another。」

郭正行聽到 `Peach Blossom` 時，手停了一下。

Yoyo。

王約思。

他沒有望向任何人。

Marcus 已經望住他。

「C-hing, you are on DD and disclosure. Not investor side contact unless cleared。」

郭正行點頭。

「Understood。」

Nancy 加一句：「Yoyo / Peach Blossom only through proper channel if involved. No side colour。」

這句很硬。

也很保護。

下午，龍門新能源管理層來到萬利門。

主席馬登峰是內地人，五十歲左右，手很粗，笑聲大。

他說自己以前開玻璃廠，靠一條舊生產線捱過九十年代。

「現在新能源是國策，是窗口。」馬登峰說，「香港市場要抓住這個機會。」

Raymond 微笑。

「We like windows. We still need to check the frame。」

馬登峰愣了一下，不知這是笑話還是警告。

CFO 是香港人，叫 Kelvin Poon。

他比馬登峰安靜，文件整理得很齊。

「Pre-IPO investor documents are in data room. Subscription agreement, shareholder agreement, side letters, all uploaded。」

Nancy 聽到 `side letters`，眼神微微一動。

「All side letters？」

Kelvin 點頭。

「All material ones。」

Marcus 放下筆。

「There are non-material side letters？」

Kelvin 的手指在文件夾邊緣停了一下。

Wendy 看著 order pipeline，不出聲。

Brian 不在房間。

Hanhai forum 之後，fresh conflict check 還在跑。Nancy 只准他做 public market comps 和 sector context，不碰 client call、investor contact、pre-IPO documents 或 side letters。

郭正行把那個名字寫在 notebook 上。

`Northern Bridge - lead only`

然後在旁邊補一個括號：

`Do not assume.`

他忽然想，如果 Brian 在房裡，應該也會寫同一句。

這念頭令他有一秒很想望向門外。

但門外只有玻璃，和另一張正在改 public comps 的枱。

中午，Brian 把 public comps 送入 Raymond 房。

「All public sources。」他說，像先替自己過審。

Raymond 接過，沒有即刻看數字。

「You don't need to announce it every time。」

Brian 笑。

「我以為現在需要。」

Raymond 看著他。

「需要的是你做得乾淨。不是你每次都像求赦免。」

這句不算溫柔。

但比溫柔更有用。

Brian 的笑淡了。

「You think I am asking for forgiveness？」

Raymond 說：「I think you are angry that you have to prove what used to be assumed。」

Brian 沒有答。

Raymond 翻開 comps。

「This is good work。」

Brian 看著他。

「Public work。」

「Work。」Raymond 說，「先不要急住替它降級。」

Brian 走出去時，郭正行正從另一邊進來。

兩人在門口讓了一下。

很小的動作。

卻像一條新界線，禮貌、乾淨、令人不舒服。

會後，Raymond 說：「This deal can be big。」

Marcus 說：「Big usually means heavier file。」

Wendy 把咖啡杯丟進垃圾桶。

「Big also means more people think they deserve allocation。」

她把一張空白紙拉到自己面前，畫了三個圈。

第一個寫：

`Issuer`

第二個寫：

`Pre-IPO Investor`

第三個寫：

`Public Book`

「你哋做 disclosure，成日以為問題係公司有無講清楚。」Wendy 說，「但 bookbuilding 時，另一個問題係：上市前已經入場的人，會不會想在上市後繼續控制節奏。」

郭正行問：「控制 allocation？」

「控制 perception。」Wendy 說，「如果 Northern Bridge 話自己帶來一堆 friendly investors，issuer 會覺得有用，ECM 會覺得 book 好看，public investors 會覺得 demand 強。但你要問，呢個 demand 係獨立判斷，定係同一條關係鏈。」

Marcus 在白板旁邊寫：

`independent demand vs relationship demand`

Nancy 補一句：

`Approved channel only. No pre-commitment outside syndicate process.`

Brian 坐在門外第二排枱。

他聽不見全部，只看到 whiteboard 上一個個圈。

他手上是 public comps：

全球太陽能零件公司 trading multiples、香港新能源概念股、A-share 比較、近期 IPO performance。

這些資料都公開。

乾淨。

也安全。

但安全有時像一張很厚的玻璃。

他能看見房裡郭正行低頭寫字，看見 Nancy 用紅筆劃掉一個詞，看見 Wendy 說話時所有人都聽。

他知道自己被移開是合理。

袁弘烈、Hanhai、Northern Palace 的影子，任何一條都足以令 Nancy 保守。

可是人有時最痛的，不是被懲罰。

是明白別人保護你，仍然像被拒絕。

郭正行問：「Allocation 有幾難？」

Wendy 看著他。

「Allocation 係一面鏡。照到邊個係朋友，邊個只係今日扮朋友。」

她笑了一下。

「Welcome to bull market。」

當晚，Dragon Gate 的 initial workplan 出來。

Marcus 把每個 workstream 分得很細：

`Business DD`

`Legal / pre-IPO financing`

`Financial model`

`Investor process`

`Conflict / contact log`

郭正行的名字在 business DD 和 disclosure。

Brian 的名字只在 public market comps。

沒有任何人說這是降級。

但 Excel 裡的名字比人更誠實。

郭正行看著那張 workplan，忽然想到自己剛入行時，最想要的是被放進房間。

現在他被放進去了，才知道房間裡每一個名字都要付代價。

Marcus 經過他身後。

「Don't stare at staffing like it will apologize。」

郭正行抬頭。

Marcus 說：「If you feel bad, do the work properly. Pity is not a control。」

郭正行低頭看 workplan。

他把 Brian 那一格沒有改。

只在自己 notebook 寫：

`Don't make his exclusion meaningless.`

晚上，郭正行收到 Yoyo 的 message。

`今日有無又講到牛市好似全世界都唔使瞓？`

他想了很久，只回：

`牛市好似令每個人都覺得自己早到。`

Yoyo 回得很快。

`我爸話，早到唔代表坐對位。`

郭正行望著那句，忍不住笑。

他很想問 Peach Blossom 會不會看 Dragon Gate。

但手指停在 keyboard 上，最後只打：

`食飯未？`

Yoyo 回：

`食咗。你呢？`

他看著桌上已經冷掉的飯盒。

`準備食。`

這不是浪漫。

只是兩個人開始學會，在最容易借路的地方，改問最普通的問題。
