第六十七章 建簿熱潮照人情，分貨一刀見真章

Project Dragon Gate launch 那天，萬利門 bullpen 像一間過熱的機房。

電話響。

Bloomberg 閃。

ECM shout order。

Analyst 改表。

Coffee machine 發出瀕死聲。

Wendy 站在 screen 前，像一個不需要刀的劍客。

「Peach Blossom cornerstone subscription confirmed. Conditions met, size fixed。」

Raymond 問：「Hanhai platform？」

Wendy 看 screen。

「Harbour Compass in. Asking for more allocation indication。」

Nancy 抬頭。

「No indication beyond process。」

Wendy 說：「I know。」

她拿起電話。

「We appreciate the order. Allocation will be determined after book close based on standard criteria. No preferential undertaking。」

電話那邊不知說了什麼。

Wendy 笑。

「Then write a bigger order if you believe in the company。」

她掛線。

旁邊的 junior ECM 同事低聲問：「咁樣會唔會太硬？」

Wendy 沒有轉頭。

「硬不是問題。亂先是問題。」

她指著 screen。

「你睇，Peach Blossom 是 cornerstone tranche，contracted、disclosed、size fixed。Harbour Compass 是 book order，no cornerstone agreement。兩者不可混。有人越想你混，你越要分清楚。」

Junior 點頭點得太快。

Wendy 看了他一眼。

「你真的明？」

Junior 立刻停住。

「即係 disclosed cornerstone 同 discretionary allocation 要分開。」

「再講。」

「Allocation 要看 order quality、investor profile、price sensitivity、aftermarket behaviour，不是看誰介紹。」

Wendy 終於點頭。

「Good. 今日不准死。」

Marcus 低聲說：「你咁樣講，佢哋會唔會嬲？」

Wendy 說：「會。但如果一個 investor 只因為我不私下承諾分貨就走，佢本來就不是 order，是 hostage note。」

郭正行把這句記低。

中午，book 開始超額。

不是爆炸式。

但足夠熱。

熱到馬登峰又開始想推高價。

電話裡，他聲音有笑。

「Raymond，market 喜歡我們。Top end 可以考慮。」

Raymond 看著 Wendy。

Wendy 沒有立刻答。

她看 book。

Peach Blossom cornerstone tranche 已 fixed。

Harbour Compass 大，但價格敏感。

幾個 long-only 問 governance。

幾個 hedge fund 只問 momentum。

她說：「Upper half possible. Top end risky。」

她把 book 分成三欄。

`High quality / price disciplined`

`Large but sensitive`

`Momentum / flip risk`

Peach Blossom 不在 public book 裡，因為 cornerstone tranche 已固定。

幾個 long-only 放在第一欄。

Harbour Compass 金額大，但被放在第二欄。

幾個叫得最大聲的 hedge fund，在第三欄。

郭正行看著那張表。

他第一次真正明白，allocation 不是獎勵朋友。

也不是懲罰麻煩的人。

是把上市後第一批股東的性格，寫進公司命運。

Raymond 對電話說：「We recommend mid-to-upper, not top。」

馬登峰不滿。

「牛市不搏，幾時搏？」

郭正行聽到這句，心裡一動。

他想起 Seven 叔。

快錢不等於路正。

Raymond 說：「You can price for one day or for six months. Choose。」

電話那邊靜了。

Kelvin Poon 說：「Mid-to-upper. We can accept。」

下午三點，Brian 經過 deal room。

他只可以看 public market comps。

但整個 bullpen 都在講 book。

有些聲音不用偷聽，都會飄出來。

他停了一秒。

郭正行正好出來。

兩人對望。

Brian 說：「Looks hot。」

郭正行停住。

這句可以是普通 market comment。

也可以是他不應該接的門。

他最後說：「Market is active。」

Brian 笑。

「Very Nancy answer。」

郭正行說：「Better than very jail answer。」

Brian 笑出聲。

那一秒，他們像回到很早以前。

然後 Brian 的電話亮起。

`Yuan Honglie`

他看了一眼，沒有接。

也沒有打開 message。

郭正行看見名字。

Brian 也知道他看見了。

兩人都沒有說。

Brian 把電話反轉放在掌心。

「我沒有接。」

郭正行說：「我知。」

「你不知道。」

「我信。」

Brian 看著他。

這句本來應該令人舒服。

但在一個有 conflict log 的世界裡，信任有時反而更重。

「你不應該靠信。」Brian 說。

郭正行點頭。

「所以你應該 forward Nancy。」

Brian 低頭笑了一下。

「你真係煩。」

「我知。」

Brian 沒有即刻走。

過了一會，他拿起電話，沒有打開 message，只把 missed call screenshot 發給 Nancy。

`Incoming call from Yuan. Not answered. No discussion. Logging.`

他按 send 時，臉上沒有勝利。

只有疲倦。

有些裂痕最深的地方，不是吵架。

是你知道對方知道，而大家仍然只能用沉默保護最後一點體面。

傍晚，book close。

Wendy 和 Raymond 做 allocation。

這是一場真正的江湖。

誰是長線 investor。

誰只是 momentum。

誰值得給足。

誰叫得最大聲但其實明天就可能沽。

Peach Blossom 的 disclosed cornerstone tranche 保持原來 size。

Harbour Compass 得到不少，但不是它想要的數。

Wendy 在 non-cornerstone book allocation memo 寫：

`No allocation preference granted. Basis: order quality, investor profile, price sensitivity, long-term holding assessment.`

Nancy 看完，點頭。

「Keep it in file。」

晚上，定價出來。

不是 top end。

但比 Silk Road 漂亮得多。

馬登峰沒有完全高興。

但他簽了。

Raymond 放下電話。

「Done。」

房裡沒有歡呼。

牛市裡，done 不是勝利。

只是下一場更熱之前，暫時可以呼吸。

Wendy 把 final allocation memo 發出去前，又看了一次。

她把 Harbour Compass 的 allocation rationale 改了兩個字。

`relationship support` 刪掉。

改成：

`order size and strategic profile, subject to no preferential undertaking.`

郭正行看見。

「兩個字都要改？」

Wendy 說：「兩個字可以害死人。」

她按下 send。

「記住，allocation memo 是給未來看。未來的人不會記得今晚誰急、誰嬲、誰話自己有關係。未來的人只會問，你當時 basis 是什麼。」

Marcus 經過，點頭。

「Future is a very annoying regulator。」

Wendy 說：「Future should join compliance。」

郭正行望著 sent email 的時間戳。

凌晨十二點四十七分。

一封 allocation memo，幾百行 order，幾十個理由，最後只剩一個時間戳證明當時有人仍然清醒。

他忽然明白 Wendy 為什麼看起來永遠像睡不夠。

分貨不是把餅切開。

是每一刀都要想像，將來有人拿著放大鏡問：你當時為什麼切在這裡。

他把這句寫在 notebook。

然後又刪掉。

太像 training。

最後只剩四個字：

`Don't fudge.`

這句不像武功。

但在 bookbuilding 夜裡，已經夠他站穩。

他突然明白，很多真正有用的投行武功，名字都不漂亮。

不要亂寫。

不要亂分。

不要因為別人大聲，就把 basis 改細聲。

這些都不像招式。

但會救命。

至少會救一份 file。

在中環，救一份 file，有時就是救未來的自己。

這句他沒有刪。

難得。

他自己也知。

郭正行收到 Yoyo message。

`Congratulations. Sensible pricing and allocation. Dad only complained twice.`

他回：

`Only twice is love.`

Yoyo 過了半分鐘才回。

`He also said Wendy is sharp.`

郭正行：

`Everyone says Wendy is sharp after being cut.`

Yoyo：

`And you?`

郭正行想了一會。

`I think I finally understand why allocation is not favour.`

Yoyo：

`Then you are becoming dangerous.`

`In a good way?`

`In a banker way. Don't be too proud.`

Yoyo：

`Don't get arrogant, banker.`

他看著 `banker` 這個字，忽然笑了。

不是因為自己已經成為什麼。

是因為第一次，有人這樣叫他，他沒有覺得自己在扮。
