第六十六章 龍門會上分快慢，條件三刀定去留
Sponsor committee 坐滿人的時候，窗外天色很亮。
牛市最愛這種光。
它令每個人都覺得，自己不是貪心，只是跟得上時代。
Nancy 先講 legal。
「Northern Bridge economic preference to be terminated by deed before launch. Board observer right terminated. Most favoured investor provision terminated. Allocation language revised to confirm no undertaking or preference survives. Counsel review pending final execution。」
Andy Or 補：
「No confirmed link between Northern Bridge and Northern Palace. Name similarity and market contact logged, but evidence status remains lead only. Brian removed from investor-adjacent workstream and remains on public market comps only。」
Brian 不在房。
郭正行聽到這句，仍然不舒服。
不是因為 Andy 講錯。
而是因為有些正確，聽起來像另一種失去。
Committee chair 問：「Any concern that removal affects execution？」
Raymond 說：「No. We have coverage. Brian's public comps work has been useful and source-cleared. Restricted workstreams are covered by Jenson, Andy and Marcus。」
Marcus 補：「We are not treating him as tainted. We are treating the contact pattern as something that requires narrower scope。」
Nancy 點頭。
「Important distinction。」
郭正行把這句記低。
不是 tainted。
narrower scope。
中環有很多字，用來把人的痛說得比較乾淨。
Wendy 講 market。
「Demand is strong, but selective. Investors like sector. They do not like hidden preference. Peach Blossom may participate as cornerstone if conditions are met. Hanhai-related platform interest exists, but allocation must be through normal bookbuilding process。」
Raymond 講 execution。
「Valuation should stay disciplined. If we push top end only because market is hot, we may win launch and lose aftermarket trust。」
Committee chair 看著他。
「Your recommendation？」
Raymond 沒有即刻答。
他看向 Marcus。
Marcus 看向郭正行。
「C-hing, workstream view。」
這一次，郭正行沒有驚。
不是因為他覺得自己 senior。
而是因為他已經知道，自己要講的不是英雄句。
是條件。
「Proceed only if three things are done before launch。」他說，「First, all Northern Bridge economic preferences and observer rights terminated by deed. Second, allocation policy confirms no private undertaking or preferential treatment. Third, prospectus discloses pre-IPO rights, termination, remaining governance and investor conditions clearly。」
他停了一下。
「If any of these is not complete, we stop. Not delay by pretending the market can price it later. Stop。」
房裡靜了。
Wendy 第一次認真望住他。
Raymond 接住：「We adopt that recommendation。」
Marcus 加一句：「Factual workstream basis attached: executed termination deed, allocation policy confirmation, prospectus disclosure and investor conditions tracker。」
Committee chair 看向 Raymond。
「You as deal senior own the recommendation？」
Raymond 沒有看郭正行。
他看著 chair。
「Yes. Jenson provided the workstream view. I own the recommendation。」
這句令郭正行背脊一鬆。
不是因為他不想負責。
而是他終於知道，真正的制度不是把 analyst 推上去做英雄。
是 senior 聽見對的事，然後用自己的名字接住。
Committee chair 點頭。
「Proceed subject to those conditions. Document the basis。」
會後，Wendy 在走廊追上郭正行。
「你今日有少少似 banker。」
郭正行說：「多謝？」
「唔好咁快多謝。Banker 唔一定係讚。」她說，「但你今日知道 allocation policy 不是 paper exercise。」
「因為你講過，allocation 是鏡。」
Wendy 笑。
「我講咁多嘢，你竟然記最煩嗰句。」
「煩通常有用。」
她看著他。
「C 妹眼光不算差，師兄。」
郭正行差點咳出來。
Wendy 已經走開。
下午，Raymond 把 committee decision 告訴馬登峰。
馬登峰聽完，很久不說話。
最後，他說：「你哋每次都話可以做，但要先拆一堆東西。」
Raymond 說：「因為有些東西帶上 market，會割到自己。」
「市場未必介意。」
「市場今日未必介意。」Raymond 說，「但 prospectus 會留低。」
馬登峰嘆氣。
「好。我簽。」
Kelvin Poon 在旁邊補：「We will execute termination deed tonight。」
Nancy 說：「Send draft to counsel first。」
「你哋真係唔信任何人。」
Marcus 輕聲說：「We trust signed documents more efficiently。」
晚上十點，termination deed draft 來了。
Nancy、Marcus、Andy、郭正行一起看。
沒有漂亮語句。
只有終止、放棄、確認、無後續權利。
郭正行忽然覺得，金融江湖最重要的武功，有時只是把一句模糊的人情，改成一段不能反口的文字。
深夜，Brian 站在樓下等車。
袁弘烈的車停在遠處。
這一次，不是 message。
是車窗慢慢降下。
袁弘烈看著他。
「你今日又沒有入房？」
Brian 走近，但沒有上車。
「Process。」
袁弘烈微笑。
「Process 很會教人等。可惜有些人的一生，就是等到自己不再想要。」
Brian 沒有答。
袁弘烈遞出一張請柬。
`Hanhai Capital - Strategy Associate Programme`
不是正式 offer。
但比 offer 更像門。
「不用現在答。」袁弘烈說，「等你知道自己想在哪一個房間，再答。」
Brian 接過。
他沒有承諾。
也沒有拒絕。
他只知道，這張紙不應該放進普通 notebook。
回到家，他寫了一封 email 給 Nancy。
`I received a non-deal-specific programme invitation from Hanhai. No Dragon Gate or client information discussed. I have not responded. Please log for conflict review.`
按 send 之前，他停了很久。
最後仍然按下去。
十七分鐘後，Nancy 回覆。
`Logged. Do not accept, attend or discuss further without prior conflict review. Maintain current Dragon Gate restrictions.`
Brian 看著這句。
它沒有問他想不想去。
也沒有問他為什麼會心動。
制度不問心動。
制度只問下一步。
他把請柬放進抽屜，卻沒有放得很深。
像一個人說自己不走，卻把鞋放在門邊。
線還在。
但他第一次清楚聽見，自己心裡有另一個聲音，問：
如果一直守線，最後是否只剩線。
第二朝，Nancy 把 Brian 的 Hanhai note 加進 conflict register。
`No response. No client information. Further engagement requires review.`
Marcus 看完，說：「This is how it should look。」
Raymond 問：「And how does he look？」
Nancy 沉默一秒。
「Tired。」
房裡靜了。
制度可以記錄 contact。
但未必記錄到，一個人每次做對之後，為什麼更想離開。
郭正行在 pantry 聽見這句時，沒有走進去。
他只是站在門外，把杯裡的水喝完。
有些事，太快關心會像監視。
太慢，又會像放手。
