第九十七章 政策不是擔保，招股書前問天命
North Star 第一份 draft prospectus，把「政策支持」寫得很漂亮。
漂亮到 Nancy 看完，沒有立刻 redline。
她把筆放下。
房間裡的人都知道，這比紅筆更嚴重。
「Who wrote this？」
North Star legal director 說：「公司內部與 PR adviser 一起整理。」
Nancy 點頭。
「It reads like a prayer。」
PR adviser 臉色一僵。
CFO 說：「政策支持是真實存在的。」
「我沒有說它不存在。」Nancy 說，「我說它不是 guarantee。」
國資代表坐在長桌另一邊，語氣平穩。
「市場理解我們的背景。」
Marcus 說：「市場理解，不等於招股書可以省略風險。」
Raymond 看了 Marcus 一眼。
Marcus 補充：「With respect。」
Wendy 在旁邊小聲：「太遲。」
郭正行翻到 risk factor。
原文寫：
`The Group benefits from long-term government policy support, providing stable visibility over future revenue.`
他在旁邊寫：
`What is legally binding? What can change? Who pays if policy changes?`
CFO 看見。
「郭先生，你覺得這句有問題？」
郭正行抬頭。
「我覺得這句太舒服。」
「舒服？」
「投資者看完，以為政策支持等於收入穩定。但如果 tariff adjustment 延遲、concession terms 改、地方政府 payment cycle 拉長，現金流仍然會受影響。」
國資代表說：「這些情況不太可能。」
郭正行說：「不太可能，不等於不用披露。」
房裡冷了一下。
Raymond 接住。
「We are not saying the story is weak. We are making it investable. Investors trust strong stories more when the limits are clear。」
Nancy 終於拿起筆。
她把那句劃掉。
新句寫：
`The Group has historically benefited from policy initiatives and government-led infrastructure development. Such support may not continue, may be modified, and does not constitute a legally enforceable guarantee of revenue, profitability or payment timing.`
PR adviser 像被人斬了一截廣告費。
Wendy 看著那句。
「少咗光環，多咗命。」
國資代表沒有笑。
CFO 也沒有。
會後，Raymond 在走廊叫住郭正行。
「You pushed hard。」
「Too hard？」
Raymond 看著他。
「In this deal, if you don't push early, later you won't be allowed to push at all。」
郭正行點頭。
Raymond 低聲說：「But learn where the wall is before you hit it with your face。」
「Marcus taught me to use documents。」
「Good. Your face is less defensible。」
郭正行笑了一下。
那晚，他把 revised risk factor 發給 Nancy。
Nancy 回：
`Better. Still too elegant. Add payment timing risk.`
他看著那句，忽然覺得踏實。
在一個所有人都想講天命的 deal 裡，有人仍然叫你補 payment timing。
這就是萬利門還未死的原因。
第二日，North Star management 帶來第一版「policy support」說明。
標題很漂亮：
`A Platform of National Strategic Importance`
Marcus 看見第一頁，沒有表情。
Nancy 翻到第二頁，眉頭已經微微皺起。
頁面中間有一句：
`The Group benefits from strong and continuing government support.`
房間靜了一下。
North Star CFO 說：「This is market standard language。」
Nancy 說：「Market standard does not mean legally precise。」
Hanhai director 接話：「Investors understand this is not a guarantee。」
Wendy 抬頭。
「Do they? Or do we hope they do?」
這句很 Wendy。
刀不長，但入肉。
Raymond 把筆放下。
「Let us separate facts. One: policy relevance. Two: historical support measures. Three: absence of legal guarantee. Four: risk that support may not continue or may not be timely。」
CFO 的笑有點硬。
「If we write too much risk, we undermine confidence。」
郭正行聽見這句，手指停在 notebook 上。
這就是 North Star 的第一場真正戰役。
不是某個人要隱瞞。
是每個人都想少寫一點令故事變鈍的真相。
Raymond 沒有提高聲線。
「Confidence that requires silence is not confidence。」
房裡沒有立即有人答。
下午，郭正行和 Nancy 對著 support language 改了三小時。
原句：
`The Group benefits from strong and continuing government support.`
改成：
`The Group operates in sectors aligned with government policy priorities and has historically received various forms of policy and administrative support. Such support does not constitute a legal guarantee of the Group's obligations, profitability, tariff adjustments or concession renewals, and there can be no assurance that similar support will continue, be available on a timely basis, or be sufficient to offset business or financial risks.`
句子長到難看。
但難看得誠實。
Nancy 看完，說：「Ugly enough to be true。」
郭正行問：「Can market read it？」
「If they are investing billions, they can try。」
他笑了一下。
晚上，Brian 出現在 Hanhai call 裡。
他講的是 approved public positioning。
「The language may be read as overly defensive by some strategic investors。」
這句合規上沒有問題。
也不是錯。
但郭正行聽到那個 `overly defensive`，心裡仍然一緊。
Raymond 回答：「Then we explain why precision protects valuation durability。」
Brian 說：「Understood。」
聲音很平。
像兩個以前通宵吃麵的人，現在隔著 speaker phone 討論一條句子是否太防守。
Call 後，Marcus 問郭正行：「Emotion in notes？」
「No。」
「Good。」
Marcus 走開。
郭正行卻知道，emotion 沒有進 notes，不等於沒有進人。
晚上，他和 Yoyo 食飯。
她問：「今日打咩仗？」
「一個字。」
「咩字？」
「Support。」
Yoyo 放下筷子。
「Support 最麻煩。投資裡 support 可以係錢，可以係態度，可以係你以為別人會接住你。」
郭正行看她。
「感情裡呢？」
「一樣。」她說，「你話 support 我，但如果沒有行動，沒有時間，沒有出現，support 就只是一個靚字。」
他低頭笑。
「你今日很 North Star。」
「不，我今日很 prospectus。」
她夾了一塊菜給他。
「寫清楚。我先信。」
那晚回到家，郭正行把 support risk factor 又讀了一次。
他忽然覺得，這條句子不只是在寫北辰。
也在寫人。
任何「我會支持你」後面，都應該問：
用甚麼方式？
在甚麼時候？
有沒有能力？
會不會只在不需要付代價時才出現？
他把這些問題寫在 notebook。
沒有給 Yoyo 看。
但第二日，他準時出現。
有些 disclosure，最好用行動提交。
第二天清早，Marcus 把 support language 印出來貼在白板。
他在旁邊寫：
`Do not let adjectives do legal work.`
Andy 經過，讀完皺眉。
「Adjectives 都要返工？」
Marcus 說：「In bad prospectuses, yes。」
郭正行笑。
North Star CFO 來到時，看到那句，沒有笑。
Raymond 卻沒有擦走。
他讓那句留在白板上，像一支很小的旗。
會議後，CFO 私下問郭正行：「你們是否覺得我們想誤導市場？」
郭正行知道這問題危險。
他也知道，一個 junior 不應該把自己講成 moral judge。
他說：「我覺得你們太相信大家會明白未寫出來的分別。」
CFO 靜了。
這句比 accusation 更有用。
因為很多時候，問題不是 client 想騙。
是 client 覺得「大家都懂」。
而市場最貴的錯誤，往往就是大家以為大家都懂。
晚上，Nancy 看完 meeting note，只圈了一句：
`too相信`
她改成：
`may overestimate investor understanding of implicit support limitations`
郭正行看著那句。
中環人的情緒，最後還是要翻成英文風險語。
