第一百零三章 Brian 站到另一邊，熟人一句最傷人
Brian 不是突然變壞。
這件事最傷人。
他在 North Star 的下一場 working session 裏，穿著整齊，語氣平穩，資料乾淨。沒有萬利門 restricted file，沒有偷來的 valuation backup，沒有一句不該知道的 order colour。
他只是站在另一邊。
Hanhai 帶來一份 `Strategic Market Positioning Note`，來源是公開市場資料、policy speech、同行交易、investor education language。
Brian 負責講其中三頁。
「The market understands strategic scarcity。」他說，「If the language becomes too defensive, North Star risks being read as a normal utility rather than a national platform。」
Raymond 的手指在桌上停了停。
Nancy 問：「National platform is descriptive？」
Brian 答得很快。
「As a market positioning phrase, yes. Not a legal assurance。」
Marcus 看著他。
「Then it stays out of risk mitigation language。」
Brian 點頭。
「Agreed。」
太乾淨了。
乾淨到師兄無法用 compliance 責備他。
但每一句都像以前同一張桌上練出來的刀法，現在轉了方向。
Break 時，師兄在 corridor 追上他。
「你講得好似呢個 market 只需要 confidence。」
Brian 沒有回避。
「Market also needs courage。」
「Courage 唔係叫人唔睇 risk。」
「And risk control isn't the same as making a country small enough for a committee memo。」
那句話一出口，兩人都靜了。
以前 Brian 會立刻笑，講句「師兄你又嚴肅」。這次沒有。
師兄問：「Hanhai 教你咁講？」
Brian 看著他。
「No. They just don't punish me for seeing the larger frame。」
這一句，比罵人難聽。
師兄覺得胸口某處被按了一下。
「你覺得我哋 punish 你？」
Brian 沉默了很短。
「我覺得你哋每次都要我證明我沒有錯，先俾我做啱嘅事。」
師兄想反駁，卻一時找不到完全乾淨的句子。
因為有些事，Brian 真的被查過、被圈過、被警告過。
也因為有些警告，真的救過他。
回到房間前，Brian 低聲說：「我沒有拿你們的東西，師兄。」
「我知。」
「咁你不要用以前的眼神看我。」
師兄望著他。
「我不是怕你偷東西。」
Brian 等著。
師兄說：「我怕你開始覺得留痕的人都不懂大局。」
Brian 沒有答。
他推門入房，重新坐在 Hanhai 那邊。
那一刻，師兄終於明白，分開有時不是誰越了界。
是同一條界，在兩個人眼裏，已經保護不同的東西。
下午的 meeting 繼續。
Brian 負責講一頁 Hanhai market positioning。
Slide 標題是：
`From Infrastructure Asset to National Platform`
資料來源全部公開。
政策文件、行業數據、上市同業 trading multiples、近期 southbound flow。
沒有萬利門內部資料。
沒有 North Star 非公開數據。
沒有任何一個 compliance officer 可以即場拍枱。
但郭正行聽著，仍然覺得每一句都像在把房間往某個方向推。
Brian 說：「Investors are not only buying current cash flow. They are buying strategic access to long-term infrastructure growth。」
Wendy 插入：「At the right price。」
Brian 點頭。
「Of course。」
這個 of course，比 North Star CFO 的 of course 更熟練。
Nancy 問：「How do you propose this be reflected without implying state-backed downside protection？」
Brian 換到下一頁。
「By focusing on policy relevance, asset scarcity and long-term capital formation, while cross-referencing disclosed risk factors。」
答案很好。
太好。
好到郭正行想起以前他們一起準備 committee 時，Brian 也是這樣在白板前，把複雜問題講到人人都願意點頭。
只是今天，點頭的人坐在另一邊。
Break 時，兩人在 corridor 遇上。
沒有其他人。
Brian 先說：「你覺得我今日講錯？」
「沒有。」
「咁你個樣好似我偷咗你錢。」
郭正行看著他。
「我覺得你講得太好。」
Brian 笑了一下。
「這也有罪？」
「沒有。」郭正行說，「只是你以前會用同樣能力幫我哋拆神話。今日你用它幫另一邊包裝神話，雖然包裝得很合規。」
Brian 的笑慢慢收了。
「你仍然覺得我在包裝。」
「你不覺得？」
Brian 看向玻璃外的中環。
「我覺得你把所有大故事都當成 suspect。」
「因為大故事最少人敢問問題。」
「有時大故事是真的。」
「我知。」
「你不知道。」Brian 說，「你只是怕自己一相信，就對不起萬利門。」
這句刺得準。
郭正行沒有即刻反駁。
Brian 低聲說：「你哋講 evidence。我不是反對。但有些東西在 evidence 之前就存在。方向、政策、人心、勢。」
「那叫 assumptions。」
Brian 笑。
「你看，這就是我走的原因。」
郭正行覺得胸口一緊。
「你走，是因為你覺得我們太小？」
Brian 看著他。
「我走，是因為我不想一世只做 check 那個人。」
會議室門開。
有人叫他們回去。
Brian 轉身前，說：「我沒有拿你們的東西，師兄。你要記住。」
郭正行說：「我記住。」
他沒說出口的是：
我怕的不是你拿走甚麼。
我怕你把自己交出去時，覺得那不算失去。
晚上，郭正行把這段 conversation 寫進私人 notebook。
不是 record。
不涉及 deal detail。
只是他需要留住一個事實：
Brian 不是突然變壞。
Brian 是把「大」當成一種更高級的真。
而他自己，仍然在學怎樣面對一個不是錯、卻可能帶走朋友的真。
第二天，Brian 發來一份 clean copy。
沒有 track changes。
沒有私人語氣。
只有 Hanhai 正式信頭。
內容是 investor education narrative 的修訂建議。
每一頁都標明 public source。
每一段都 cross-reference approved disclosure。
Nancy 看完，說：「Technically clean。」
這四個字在萬利門，通常代表「我不喜歡但不能殺」。
Marcus 問：「Any side channel？」
「No evidence。」
Raymond 看向郭正行。
「你不要用感覺補 evidence。」
郭正行點頭。
這句是提醒，也是保護。
因為他真的很想找到一個硬錯。
如果 Brian 有硬錯，他就可以生氣得簡單一點。
但 Brian 沒有。
Brian 只是把自己訓練成另一套制度裡的好學生。
下午，Hanhai team 和萬利門做 wording reconciliation。
有一段關於 `strategic access`。
Brian 說：「Investors understand access value。」
Wendy 說：「Access to what? Cash flow, policy direction, or dinner invitations？」
Andy 在旁邊低頭忍笑。
Brian 沒有笑。
「Access to long-term growth exposure。」
Nancy 說：「Then say exposure. Not access。」
這場拉鋸持續四十分鐘。
最後句子變成：
`The Offer provides investors with exposure to the Group's portfolio of infrastructure projects and the associated risks described in this prospectus.`
很悶。
很不 Hanhai。
也很安全。
會後，Brian 收拾文件時，低聲說：「你們真係可以把任何句子變成冷飯。」
郭正行說：「冷飯至少不會燒傷人。」
Brian 看了他一眼。
「有時也沒有味。」
「味不是 disclosure objective。」
Brian 笑了。
笑得很短。
「你而家真係無得救。」
郭正行也笑。
「可能。」
這一秒像以前。
下一秒，袁弘烈叫 Brian。
Brian 立刻轉身。
舊世界只亮了一秒。
然後又暗回去。
晚上，郭正行把那句 `technically clean` 寫進 notebook。
旁邊加：
`Pain can be unsupported too.`
這句是他今日最不想學、但最需要學的東西。
私人痛苦不能自動變成證據。
就像市場熱情不能自動變成價值。
那晚，他沒有把 Brian 寫成敵人。
他試過。
筆停在紙上，寫不下去。
最後只寫：
`He is choosing a language where he feels larger.`
這句令他很難受。
因為他知道，每個人都想在某種語言裡變大。
自己以前也想。
想在 model 裡變大。
想在 committee 裡變大。
想在 Yoyo 面前變成不會失約的人。
所以他不能簡單恨 Brian。
只能更清楚地守住自己不跟著走。
他合上 notebook。
這不是原諒。
也不是審判。
只是把人留在人形，不把他簡化成一個方便的壞人，一句就算。
這點很難。
但同門一場，至少應該難一點。
否則太便宜。
也太不像他們。
至少不像以前。
以前更痛。
