第三十九章 倉單一問驚客語，北境舊席又留燈
Silk Road 的 conference call 在下午六點開始。
這時間很中環。
早過 dinner，遲過正常人想返屋企。
萬利門這邊有 Raymond、Marcus、Nancy、Brian、郭正行，Andy Or 坐在旁邊，不講話，只看 agenda。Henry Hon 沒有入 call，留下一張紅筆寫滿的 note。
Client 那邊，董事長羅遠航 Victor Luo 第一次出聲。
他的聲音很沉，廣東話帶少少普通話口音，聽起來不像講故事的人，反而像習慣在凌晨三點看車隊表、口岸排隊和油卡餘額的人。
「各位，我哋係做實業，不係做 financial engineering。」
這句一出，Raymond 的背脊微微直了一點。
這類 client 最難處理。
不是因為他們狡猾。
而是因為他們很多時候真的捱過、真的有貨、真的覺得 banker 不懂實業，於是每一條 DD question 都像對他人生的冒犯。
Victor Luo 不是 Golden Bun 的金兆滿。
金兆滿會用豪氣包住舊人情。
Victor Luo 用 operational detail 包住自尊。他講話沒有太多中環修飾，卻每一句都像在提醒你：你們坐冷氣房的人，最好不要太快判斷凌晨路上開車的人。
郭正行把這一點寫在 notebook：
`Respect operating reality; still ask control / cash / title.`
Raymond 立刻接：「Victor，我哋明白。今日主要係幫 prospectus 做清楚，avoid surprises later。」
CFO 林卓文 Martin Lam 說：「Warehouse receipt financing is normal in logistics industry。銀行都批，點解 IPO sponsor 要問到咁細？」
Nancy 開口。
「Because public investors are not your banks. Banks underwrite collateral. Investors underwrite the company story。」
電話那邊靜了一下。
郭正行在 notebook 寫下這句。
Brian 看見，低聲說：「Nancy should publish。」
Marcus 用筆敲桌面，示意他專心。
Raymond 用很柔的語氣問：「Can we walk through control of goods, title transfer, and financing arrangement?」
Martin Lam 開始解釋。
貨物從內地供應商到深圳倉，再經香港口岸安排出口。有些貨在 transit 時已取得客戶確認，有些要等 final acceptance。銀行 facility 用 inventory and receivables 作支持，是行業慣例。
Brian 問：「For the items marked `title pending customer acceptance`, who bears inventory risk before acceptance?」
Martin Lam 說：「Technically company。」
Nancy 問：「And the same inventory description appears under two facilities. Are they separate batches?」
Martin Lam 說：「Yes, separate。」
Marcus 接：「Then please provide batch-level identifiers and reconciliation。」
電話那邊傳來紙張翻動聲。
Victor Luo 忽然開口。
「Marcus，我哋二零零三年點捱過來，你哋可能唔明。沙士時期，貨走唔到，客唔付款，銀行又縮。物流公司唔係等舖頭開門，是每朝六點要決定邊架車走邊條線、邊張油卡仲刷唔刷得過、邊個司機今晚有冇糧出。」
房裡安靜。
這句話有重量。
郭正行聽見「俾司機出糧」時，想起 Frankie 說過：拖得耐，司機最先知。
Marcus 說：「Victor，我哋唔否定你哋捱過難關。但 prospectus 要講清楚公司點樣捱過、用了甚麼 financing、風險是否仍然存在。」
Victor Luo 的聲音低了。
「如果你哋只寫 support，不寫控制點、不寫幾時停、不寫今日點樣唔再靠佢，投資者會以為我哋個系統一開始就企唔穩。」
郭正行心裡一動。
這句同 Golden Bun 的委屈不一樣。
金兆滿講的是人情和舊舖。Victor Luo 講的是班次、油卡和控制表。兩種生意都曾經狼狽，但狼狽的形狀不同。
Nancy 說：「市場可以接受一間公司曾經用過臨時 support。市場不能接受一間公司講不清 support 幾時開始、幾時停止、今日由邊個控制。」
Raymond 望了 Nancy 一眼。
有時律師一句話，比 banker 一百頁 deck 更像 pitch。
Call 結束前，Silk Road 同意提供 batch-level reconciliation、facility agreement extracts、top customer payment history，以及 warehouse landlord ownership schedule。
不是勝利。
只是拿到下一扇門的鎖匙。
掛線後，Raymond 坐了很久。
「We keep them calm。」他說。
Marcus 說：「We keep ourselves honest first。」
Nancy 補：「And we keep a record that the question was asked before we liked the answer。」
Raymond 看她。
「你有無試過一句嘢講到人更加累？」
「Daily。」
Andy Or 沒有笑。
他把 agenda 收起，對 Brian 和郭正行說：「你哋兩個頭先聽到嘅，都係 pre-wall early market and reconciliation context。If North Harbour becomes restricted, boundary changes. Don't rely on memory as permission。」
Brian 點頭。
郭正行也點頭。
那句話聽起來像程序。
其實是預告。
有些知情範圍，不是按友情伸縮。
是按風險收窄。
Brian 沒有說話。
晚上八點，他收到陸承恩的 message。
`Logistics is going to be a very big map. Some maps are too big for a first-year associate track. Dinner?`
Brian 看著那句。
他已經不是第一次被北境看見時那個人。
但被看見，仍然有吸引力。
他回：
`Busy on a live project.`
陸承恩：
`I know. Public market is watching the sector. We only talk industry. No names.`
Brian 沒有立刻回。
他把電話反轉放在桌上。
郭正行剛好拿著 printout 經過。
「你今晚走唔走？」
Brian 抬頭。
「你約咗 Yoyo，我唔阻你。」
「唔係今晚。」
「咁你仲唔走？」
郭正行舉起 printout。
「Batch-level reconciliation。」
那時 North Harbour 還未被圈出來。
Brian 笑。
「你真係好悶。」
「我知。」
Brian 看著他。
「但悶有時好。」
這句是 Seven 叔講過的。
郭正行不知道 Brian 幾時聽過，或只是自己想像。
他只是把另一份 printout 放在 Brian 桌上。
「一齊睇？」
Brian 沉默半秒。
「一齊。」
兩人坐到十點半。
沒有講太多私事。
但每當一個人指住表裡某格，另一個人都知道他想問甚麼。
有些默契，比表白更危險。
因為表白可以拒絕。
默契會令人以為路還在。
晚上十一點，client 補來 landlord ownership schedule。
其中一間主要倉庫業主：
`Bright Route Property Holdings Limited`
股東：
`Luo Family Trust - 60%`
`North Harbour Strategic Investments - 40%`
Raymond 皺眉。
「North Harbour？」
Marcus 望向 Andy Or。
Andy 已經打開 conflicts database。
五分鐘後，他抬頭。
「Potential issue。」
所有人看著他。
Andy 說：「North Harbour is on a preliminary watch list. May be connected to a Northern Palace-adjacent investment platform. Not confirmed. Also, our lending side had a past discussion with Bright Route in late 2003. No live facility on record yet, but I need to check archived files。」
Brian 的手指停住。
北境兩個字沒有出現在紙上。
但房裡每個聽過它的人，都感到一陣風從門縫入來。
Nancy 說：「Until we know, no one speaks to anyone outside this room about this point。」
Andy 已經在 notebook 寫下 `initial exposure - North Harbour lead`。
Nancy 又補一句：「Pending conflict review, no Northern Palace, no North Harbour, no Bright Route discussion with anyone outside this room. Especially informal catch-ups。」
她看向 Brian。
不是懷疑。
是保護。
Brian 點頭。
郭正行也點頭。
Andy 把 file 合上。
「牆未必一定要起。但你哋最好先知道，牆可以在哪裡起。」
窗外，中環的燈仍然很亮。
復甦市裡，每條路都像通向生意。
但有些路，走到一半，會發現盡頭不是倉庫。
是王府。
